Investor process launched: Project ANDROMEDA – Edutain AG / Explorado Group

starkpartners has been exclusively mandated with the execution of the structured investor process for Edutain AG. The proceedings are ongoing at the Bonn Local Court (97 IN 149/26); preliminary insolvency administration was ordered on 2026-08-31. Optionally, the acquisition of a total package together with the Explorado group companies is possible.

Key Highlights:

The Explorado corporate group has been developing, producing, and operating visitor attractions and international blockbuster exhibitions for 30 years. More than ten million visitors across eleven countries, as well as exhibitions on Harry Potter, Star Wars Identities, Jurassic World, and Marvel, reflect the group’s experience.

Edutain AG employs 55 people and operates the DinoXperience Königswinter. In addition, it holds the main lease position for the approximately 4,200 m² exhibition hall at the Westfield Centro Oberhausen, including the sublease agreement with House of Magic.

The Transaction:

Planned is an asset deal by way of transferring reorganization. The transaction scope includes in particular the DinoXperience Königswinter with tenant fit-out, exhibits and technical equipment, as well as the lease position in Oberhausen, service agreements, and the exhibit inventory.

Alternatively, a total package including additional Explorado group companies can be acquired. This additionally comprises the promoter and touring business as well as the Adventure Museum in Troisdorf. Brand and license rights can be included upon agreement.

Targeted parties include exhibition and immersive producers, operators of leisure and indoor entertainment offerings, ticketing and live entertainment groups, as well as family offices and real estate players.

Transaction framework

starkpartners has been exclusively mandated with the preparation and execution of the Distressed M&A process. The structured investor process includes an indicative offer phase, in-depth discussions, and a subsequent due diligence phase up to signing.
