Following intensive discussions and negotiations, an important step towards securing the future of the company has been achieved in the self-administration proceedings of Kautex Maschinenbau GmbH: The management – supported by the insolvency administrator Olaf Seidel from the supra-regional restructuring and insolvency law firm AndresPartner – has successfully transferred all essential assets and the entire business operations of the specialized mechanical engineering company from Bonn to the German subsidiary of a Chinese investor.
The Bonn location, where the company has its headquarters and place of business and develops and assembles the majority of its machines, which are mainly used for the production of plastic containers, will be fully continued under the new management. The transaction preserves a large number of jobs – a crucial milestone for a stable future for Kautex Maschinenbau GmbH and its workforce. Furthermore, this not only represents a significant and positive development in economically challenging times, but is above all a strong commitment to the location, the regional economy and the 155 employees who have been transferred.
“We wish the company and its employees every success and all the best for the future. With the successful completion of the restructuring and the transferring reorganization, the course has been set for this”, says Olaf Seidel, a specialist lawyer for insolvency and restructuring law, who supported Kautex with his team throughout the entire proceedings and implemented essential restructuring measures in the company.

“With the now completed transfer of business operations, the proceedings have reached a rapid and successful conclusion, which sets the course for a positive future for the company. The fact that this was possible in such a short time underscores the effectiveness of the self-administration procedure as an instrument for restructuring and preserving companies”, comments Dr. Mark Boddenberg, specialist lawyer for insolvency and restructuring law and law firm partner, on the rapid course and outcome of the proceedings. Michael Schütte, business lawyer, LL.M., adds: “The constructive cooperation of all parties involved was decisive for the rapid agreement on the sale of the business operations. Our thanks go in particular to the self-administration team led by lawyer Olaf Seidel for the speedy implementation.”

Background:

Kautex Maschinenbau GmbH filed an application for insolvency proceedings under self-administration with the responsible Bonn District Court in August 2023. The self-administration proceedings were opened on November 1, 2023. In order to meet the complexity and legal challenges of the restructuring within the framework of the proceedings, the company was supported by lawyer Olaf Seidel from the supra-regional law firm AndresPartner. Lawyer Dr. Mark Boddenberg from the ECKERT law firm was appointed by the Bonn District Court as insolvency administrator and, together with ECKERT partner Michael Schütte (LL.M.), comprehensively supported the proceedings and the transfer process. The international investor process was managed by the consulting firm starkpartners consulting GmbH from Meerbusch. Thanks to the international presence of starkpartners at its locations in Singapore and Shanghai, it was possible to appeal to numerous Asian investors and convince them of the opportunities offered by KAUTEX.
